Emanuela (Ema) initially started working for the firm’s corporate and commercial practice back in 2017 when she was still in law school.  Joining the firm full time after graduating in 2019, Ema gathered experience in numerous practice areas but specialized in M&A and corporate governance matters, as well as banking and finance matters.

As a member of the corporate and commercial practice, Ema advised multinational companies and major local entities operating in multiple industries (especially the pharmaceutical and medical device industries) on diverse commercial issues, contract law, intellectual property and regulatory matters.  Among others, she assisted one of the largest European pharmacy companies involved in the marketing, distribution, supply and wholesale of medicinal products, including by way of drafting and revising its contracts implemented both in Romania and in multiple foreign jurisdictions.

Over the years Ema was involved in extensive due diligence investigations, including for the acquisition of two major Romanian companies operating in the trade of medical devices.  One recent project was assisting an international online payment service company on the sale of their Romanian business to a large international investment fund, particularly with respect to trademarks protection matters.

In addition, Ema has extensive knowledge of aspects related to Anti-Money Laundering and Combating the Financing of Terrorism (AML/CFT).  For example, Ema worked for various clients on conducting complex UBO identification matters, many of which involved multi-layered and multi-jurisdictional legal structures, such as trusts and private equity funds.

Recently, Ema has worked on several significant compliance matters, especially matters before the Romanian anti-corruption authority (the DNA) and the Directorate for Investigating Organized Crime & Terrorism (DIICOT).
